Terms of Service

1. Acceptance of Terms

By accessing or using the EximNext platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms apply to all users including buyers, suppliers, and visitors.

EximNext is operated by EximNext ("Company", "we", "our", or "us"). We reserve the right to modify these Terms at any time. Continued use of the Platform following notification of changes constitutes acceptance of the modified Terms.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into contracts to use this Platform. By registering, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

Business registrations must be made by authorised representatives of the business entity. You are responsible for all activity that occurs under your account.

3. Platform Services

EximNext provides a B2B trade marketplace that connects buyers and suppliers of industrial and commercial goods globally. Our services include:

•Product and supplier listings and discovery•Buyer requirement posting (RFQ system)•Messaging and inquiry management•Trust Score and verification system•Escrow payment facilitation•Trade resources and market intelligence

EximNext acts as a platform intermediary and is not a party to any transaction between buyers and suppliers. We do not manufacture, sell, or take ownership of any goods listed on the Platform.

4. User Accounts and Verification

Each user may register only one account. Creating multiple accounts is prohibited and may result in permanent suspension of all associated accounts.

Verification documents submitted for KYC or business verification must be genuine and unaltered. Submission of fraudulent documents is grounds for immediate termination and may be reported to relevant authorities.

Your Trust Score is calculated based on your activity, verification status, response performance, and trade history as described in our Trust Score documentation. EximNext reserves the right to adjust scores based on fraud detection findings.

5. Prohibited Activities

You agree not to use the Platform to:

•Post false, misleading, or fraudulent product listings or company information•Solicit payments outside the Platform to avoid Escrow protections•Create fake reviews, manipulate Trust Scores, or engage in any deceptive practices•Scrape, crawl, or extract data from the Platform through automated means•Transmit spam, phishing content, or malicious code•Impersonate any person or entity•Engage in any activity that violates applicable law or regulation

EximNext employs active fraud detection systems. Violations may result in immediate account suspension, forfeiture of funds, and legal action.

6. Payments and Escrow

EximNext offers an optional Escrow service for transactions between buyers and suppliers. When using Escrow, funds are held by EximNext's payment processor until both parties confirm fulfilment of agreed terms.

Escrow fees (1–2% of transaction value) are non-refundable once a transaction has been initiated. Disputes arising from Escrow transactions will be reviewed by EximNext's dispute resolution team, whose decision is final.

EximNext is not responsible for any payment made outside the Escrow system. Users who bypass Escrow for transactions do so entirely at their own risk.

7. Intellectual Property

All content on the EximNext Platform — including but not limited to the EximNext brand, logo, design system, Trade Hub articles, HS Code data compilations, and country trade data — is the intellectual property of EximNext and is protected by applicable copyright and trademark laws.

User-submitted content (product listings, company profiles, reviews) remains the intellectual property of the submitting user. By submitting content, you grant EximNext a non-exclusive, worldwide, royalty-free licence to display, reproduce, and distribute that content on the Platform.

8. Disclaimers and Limitation of Liability

EximNext provides the Platform on an "as is" basis. We make no warranties, express or implied, regarding the accuracy of trade data, supplier verification outcomes, or the performance of any transaction facilitated through the Platform.

EximNext's total liability to any user for any claim arising from use of the Platform shall not exceed the total fees paid by that user to EximNext in the twelve months preceding the claim.

EximNext is not liable for any indirect, incidental, special, consequential, or punitive damages arising from use of the Platform or any transaction conducted through it.

9. Termination

EximNext reserves the right to suspend or terminate any account at any time for violation of these Terms, fraudulent activity, or for any other reason at our sole discretion.

You may terminate your account at any time by contacting [email protected]. Termination does not affect any obligations incurred prior to termination.

10. Governing Law

These Terms are governed by the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.

For international users, this choice of law does not affect any mandatory consumer protection rights available under your local law.
